THIS END USER LICENSE AGREEMENT IS A LEGAL AGREEMENT BETWEEN YOU (AN INDIVIDUAL OR A LEGAL ENTITY) (THE "LICENSEE") AND MIKIRI SECURITY LLC (THE "LICENSOR") FOR THE "MIKIRI WAF" SOFTWARE (THE "MIKIRI WAF SOFTWARE") DELIVERED UNDER THIS AGREEMENT.
IMPORTANT! BEFORE USING THE MIKIRI WAF SOFTWARE, PLEASE READ THE TERMS OF THIS AGREEMENT CAREFULLY.
INSTALLING, LAUNCHING, OR OTHERWISE STARTING TO USE THE MIKIRI WAF SOFTWARE CONSTITUTES YOUR ACCEPTANCE OF THIS AGREEMENT AND YOUR FULL AGREEMENT TO ALL OF ITS TERMS, WHICH PREVAIL OVER ANY OTHER DOCUMENT AND GOVERN THE USE OF THE SOFTWARE, EXCEPT WHERE AN INDIVIDUAL LICENSE AGREEMENT IS SIGNED WITH THE LICENSOR. IF YOU DO NOT UNCONDITIONALLY ACCEPT THE TERMS OF THIS AGREEMENT, YOU MAY NOT INSTALL OR USE THE MIKIRI WAF SOFTWARE.
1.1. Mikiri WAF software — the computer program referred to above, both as a whole and as its components. It is a set of data and commands expressed in objective form and included by Mikiri Security LLC in that computer program, together with the documentation on its use posted at docs.mikiri.ai (the "Documentation"). The Mikiri WAF software is supplied as the following installation components, located in a publicly accessible repository:
the "Mikiri WAF Filter" installation package, which includes dynamic modules that connect to the web server and are designed for the primary analysis of requests, as well as auxiliary components for additional analysis of HTTP requests, including, but not limited to, Mikiri WAF MLA and API Firewall;
the "Mikiri WAF MLC" installation package, which is designed for additional analysis of HTTP requests and for the construction of behavioral models;
the "Mikiri WAF API" installation package, which is designed to interact with the components of the Mikiri WAF software;
the "Mikiri WAF WMC" installation package, which is designed for data visualization and for control of the operation of the components of the Mikiri WAF software;
the "Mikiri WAF Scanner" installation package, which is designed to identify flaws in web applications.
1.2. Licensor — Mikiri Security LLC. The Licensor reserves all rights in the Mikiri WAF software that this Agreement does not expressly grant.
1.3. Licensee — you, the individual or legal entity that uses the Mikiri WAF software with a Software Key obtained by any lawful means, including from the Licensor, a partner, or a reseller. The key may be provided for a fee or without a fee, for a testing period, or for any other purpose.
1.4. Use of the Mikiri WAF software — any action related to the operation of the Mikiri WAF software in accordance with its intended purpose.
1.5. Software Key — a key issued for the Mikiri WAF software, required to confirm the license for the Mikiri WAF software and to install and continue using it, so as not to infringe copyright.
2.1. The Mikiri WAF software is licensed, not sold. This Agreement only gives the Licensee some rights to use the Mikiri WAF software. The Licensor reserves all other rights. Unless applicable law gives the Licensee more rights despite this limitation, the Licensee may use the Mikiri WAF software only as expressly permitted in this Agreement.
2.2. The Mikiri WAF software is protected by copyright. Liability for infringement of the Licensor's exclusive rights to the Mikiri WAF software is determined in accordance with the laws of the Republic of Armenia.
2.3. This Agreement does not transfer ownership of the Mikiri WAF software to the Licensee. The only right granted is the non-exclusive license in clause 3.4.
3.1. Use of the Mikiri WAF software for illegal or criminal purposes that violate applicable law is prohibited.
3.2. Under this Agreement, the Licensor issues a Software Key for the use of the Mikiri WAF software. The Software Key may be used only on one installed instance of the Mikiri WAF Filter package. Using one Software Key on two or more installed instances of the Mikiri WAF Filter package is strictly prohibited and constitutes a violation of this Agreement.
3.3. The Licensor prohibits decompiling, disassembling, or modifying files of the Mikiri WAF software that are not intended for configuring the Mikiri WAF software in accordance with the Documentation, in whole or in part, except where applicable law allows it.
3.4. The Licensor grants the Licensee a non-exclusive license to install and use the Mikiri WAF software, so long as the Licensee complies with this Agreement. No other rights are licensed to the Licensee.
3.5. The Licensee may not transfer the right to use the Mikiri WAF software to a third party, or sell, lease, sublicense, rent, or otherwise transfer the software, or any copy, modification, or combination of components of the Mikiri WAF software, without the written consent of the Licensor.
3.6. The Licensor shall under no circumstances be liable for any direct or indirect damage caused during the use of the Mikiri WAF software.
3.7. The non-exclusive license for the Mikiri WAF software is provided on an "as is" basis. The Licensor does not guarantee that the Mikiri WAF software will meet the Licensee's ultimate goals and expectations, and provides no other guarantee that is not expressly stated in this Agreement. The Licensee assumes responsibility for selecting the Mikiri WAF software to achieve the desired results, and for the results obtained from the Licensee's use of the Mikiri WAF software.
3.8. The license granted to the Licensee is non-exclusive. The Licensor may use the Mikiri WAF software and may grant licenses to other persons. All rights not expressly granted remain with the Licensor.
3.9. A Software Key may be provided without a fee for a testing period. For that period, the person who uses the Mikiri WAF software with that key is the Licensee, and this Agreement applies in full. The Licensee must comply with every term of this Agreement and must not violate it. The absence of a fee and the limited testing period do not release the Licensee from that duty. When the testing period ends or the Software Key expires, clause 6.2 applies.
4.1. Clause 3.6 prevails over this clause. The Licensor does not guarantee the functionality or operability of the Mikiri WAF software and accepts no liability for direct or indirect damage caused by errors in its operation. If such errors become known to the Licensor, the Licensor undertakes to make efforts to correct them, provided that:
the Licensee, in a timely manner, installs updates to the Mikiri WAF software and updates to the software environment in which or with which the Mikiri WAF software operates, including updates to the operating system; and
the hardware resources on which the Mikiri WAF software operates are sufficient and compatible.
Those efforts do not limit clause 3.6 and do not give rise to liability for damage.
4.2. The Licensor guarantees that it holds the exclusive rights to the Mikiri WAF software.
5.1. The license granted under this Agreement is valid worldwide. The Licensor does not impose territorial restrictions on the use of the Mikiri WAF software.
6.1. If the Licensee has obtained a Software Key by any lawful means, this Agreement enters into force when the Mikiri WAF software is installed, launched, or otherwise put into use, including when a container is started. It remains in force until it ends under clause 6.2, and in any event no longer than the term of the copyright in the Mikiri WAF software.
6.2. This Agreement shall terminate, and the Licensee's right to use the Mikiri WAF software shall be deemed lost, if the Licensee violates any term of this Agreement, if the Software Key expires, or if the testing period for which the Software Key was provided ends, whichever occurs first.
6.3. Termination of this Agreement does not release the Licensee or any other person from the prohibition in clause 3.3.
7.1. Use of the Mikiri WAF software is governed by the laws of the Republic of Armenia relating to intellectual property.
7.2. For any infringement of the Licensor's exclusive rights to the Mikiri WAF software, the Licensee is subject to civil, administrative, or criminal liability in accordance with the laws of the Republic of Armenia.
7.3. This is the first version of this end user license agreement in effect. Any later version will be listed in the End User License Agreement section.
